Upon consideration of the systems’ strengths and opportunities, the US medi-corp needs to take advantage of the strengths and opportunities of both designs. Hence, an integrated information system is selected for design and implementation. This system is the ERP (Enterprise Resource Planning). Solution and Implementation The selected solution is implemented so that the US medi-corp is able to integrate all its production and management function in a manner that decisions are quick to make and respond to all the US medi-corp stakeholders’ concerns in real time. Figure 1 below shows a schematic diagram of the modelling the ERP version to be used at the US medi-corp. This step encompasses the construction of both software and hardware. Alternatively, t he hardware and the software can be sourced from manufactures who can customise it to suit the requirements of the US medi-corp. This option is preferred to save time that is required for the new MIS to be fully operational in the organisation. In the process of sourcing the software, bidding is the first step. The selected bidder will be based on the ‘low-price-bidder’ basis. However, the ERP software supplied must be able to support integration of external and internal management information throughout the US medi-corp. It should have modules for management of manufacturing functions, service and sales, modules for management of customer relationships, inventory control, production planning and forecasting, and procurement among other modules that would â€Å"facilitate the flow of information between all business functions inside the boundaries of the organisation to manage the connections to outside stakeholders† (Yusuf, Gunasekaran Abthorpe 2004). ERP is an expensive MIS in the short-run. Hence, the US medi-corp needs to cut the costs of hardware meaning that the ERP supplied needs to be compatible with the current US medi-corp’s hardware, which supports Windows NT, UNIX, and mainframe. Implementation of the ERP at the US medi-corp will require change management, which entails alteration of the processes that employees utilise to conduct the business of the organisation. Many operations that were executed by employees manually or with interventions of computers will now be integrated and automated throughout in the organisation’s processes. Therefore, employees will be retrained on how to use the new system to help them â€Å"share common data and practices across the entire enterprise to produce and access information in a real-time environment† (Fui-Hoon Lee-Shang 2001, p.285). Since the company does not have a technical team to facilitate the implementation of the MIS, a third vendor will be hired to evaluate the customisation needs of the organisation to suit its needs. Consequently, incomplete understanding of various processes before the implementation is initiated may lead to failure of the project (Somers et al. 2000, p.1001). The implementation methodology is based on the Markus and Tanis (2000) ERP life cycle. The phases are â€Å"chartering, project, and Shakedown† (Markus and Tanis 2000, p.173). The chartering phase comprises the evaluation of various decisions that lead to the funding of the ERP project. The main players in this phase are vendors, executives of the organisations, consultants, and the IT specialists of the company. The main activities encompass initiation of the ideas, making decisions to proceed with the project, and scheduling and planning of the project after selection of the ERP as the main software solution that will be implemented. In the project phase, rollout and system configuration is done. The main key players are the team members of the project, internal information technology specialists, vendors, and managers from the functional areas and business units to be integrated under ERP. The activities of the phases are software configuration, testing, integration, training, rollout, and conversion of processes. In the shakedown phase, bugs are fixed coupled with systems rework, retraining, tuning of the system performance, ands ensuring adequate staffing to ensure that temporary inefficiencies are mitigated. I want it to serve as a means of instilling in them the courage and dexterity that I have somehow found within myself to make it through this wonderful and sometimes very painful journey. Once upon a time, high, high up in a tree, there was a birds nest and in that nest there was a special, little egg . The mother bird worried and fussed and fussed and worried over her little egg, saying, Oh my, this little egg cannot possibly be big enough for my baby bird. Finally, the mother birds wait and worry over the little egg came to an end and her baby hatched. Unfortunately, the egg had indeed been far too small for her baby bird; the little bird was terribly sick from not having enough room to grow. Not sure how to care for the little one, which they named Polly, the mother bird and father bird took their new baby to the Great Owl . Thanks to the Great Owls wisdom and patience, the little bird lived, but, despite his tender care, Pollys wings would not grow. The mother bird refused to believe that her darling baby, that she had worried and waited for, for so long, would never fly. As Polly grew, her mother worked with her everyday, in hopes of teaching her daughter to fly. Eventually, their hard work paid off and, although she was a little slow and awkward, Polly finally learned to fly. As she grew bigger and surer of herself, Polly wished to play with the other birds her age. She tried to fly and play with them, but they did not want her in their games. They teased and mocked her and said she was too slow. Polly wished the other birds understood how hard she had had to work, just to be able to fly at all. But that did not matter to the other birds; they only wanted the strongest, fastest birds for their games . So, Polly went home, heartbroken, and made up her own games to play. When it came time for all the young birds to begin school, Polly had no choice but to join them. Afraid that her sensitive little daughter might be hurt by the other young birds, Pollys mother offered to let her go to a special school, but Polly refused. She was determined to keep up with the normal birds and find a way to fit in. In the beginning, the other birds made fun of Polly, but it turned out that the games she had made up to occupy her, made Polly much better than the others in school. Her experience with playing with twigs made her the best nest builder in her class and, even though she flew slower than the others, the hide and seek games she played with her mom made her the fastest at finding worms. Soon, the other birds were so busy trying to keep up with Polly; they forgot to make fun of her. As time passed, all of the young birds started to become aware of their unique appearances and some traits became more desirable than others. It turned out that small, delicate wings became quite the fashion and soon the little boy birds began to notice that Pollys wings were especially small and especially delicate. It didnt matter anymore that her wings made her slow; now, they made her pretty. At first, Polly was proud that her special wings were finally being appreciated and she made sure to show them off every chance she got. However, it didnt take long for Polly to get tired of all the attention she was getting. As you know, she is very conscious about money and extremely proud, so she brought a carriage for herself, our 3children, her sister and her child, and so I had to ride upon horseback behind them but no-one was able to know. So once the morning arrived, I kissed her goodbye and we set off. The horse was misbehaving; I could not control him at all, all the time he was bucking, trotting and galloping when it wasnt necessary and especially on stony roads, so I fell off about twice. Then Betty came running back to me and said that we had left the alcohol behind and so I tied it to my belt, one on each side so I was balanced and so I could try to not fall off of the horse. Once on my way for the second time, I finally got to some smoother road which became easier for the horse to ride upon. But instead of the easiness I believed this road would be it was the complete opposite, the horse got faster, he began trotting. I tried to get him to slow down but he wouldnt and the trot soon turned into a gallop, even though I pulled the reins and demanded him to stop. It was terrifying, I was holding onto the reins for dear life. He continued to do this for miles, even through the towns. The towns people even believed I was racing and so cheered me on. I was confused and it scared the horse so it again galloped off leaving me holding on for dear life. I finally reached where I was meant to be and where my wife and the rest of my family were waiting for me. We went past them and they shouted after me to stop as they were all hungry and wanted to rest but the horse kept going and wouldnt stop. We kept going until we reached the horses owners horse, and finally the horse stopped! I got off the horse and spoke to its owner. He offered me dinner at his home, but I declined his request as it felt stupid to be having dinner in a different town to my wife, especially on our wedding evening. We were about to set off again, when suddenly a donkey made a noise and the horse set off yet again. We went racing on again, and once more we passed straight through the town I was meant to be staying. This time my wife saw me going past and told a messenger boy that if he caught up with me and brought me back safely then she would give him half-a-crown. So the boy set off after me and tried to stop my horse three times by pulling at the reins. Unfortunately that didnt work, and the horse got more scared and so galloped faster and faster. We then went past some other people who thought I was a highwayman as I was riding away and the boy was chasing after me. They kept shouting at me stop thief and as I didnt they all joined in, in the chase. When we arrived at the town I was meant to being staying at they thought I was still racing and so cheered me on even more, as they thought I had won. Was indeed a very bizarre way to spend my wedding day, and although I regret being away from my wife on that day I do not regret anything that happened that day!

The Band and Its Placement in American Music The Band has come to be known as one of the top one hundred greatest group of performers in the twentieth century. At the height of their popularity in the late 1960s, America was drawing a harsh divide between generations, races, genders, and political ideologies. Rock and Roll at this point had become a defining feature of the counterculture (the younger generations were disillusioned with the then upheld principles of American society) and as such was seen as a menace which often voiced harsh criticisms against figures and institutions of authority really long sentence. Amidst the chaos between music and society, a humbly talented group of performers released what some have called the purest most honest music of the generation. The Band had its influences rooted in the country, rock’ n’ roll, and rhythm and blues music of the early 1950s. To more than a few members of the group, performers such as Little Richard, Elvis Presley, Conway Twitty, Johnny Cash, and Jerry Lee Lewis inspired them to pursue music with the passionate zeal that usually accompanies talented musicians. The members: Robbie Robertson, Levon Helm, Rick Danko, Garth Hudson, and Richard Manuel were all multi-instrumentalists and as such got their start as musicians from early ages, Levon Helm for example started playing guitar at the age of nine. In 1958, Helm began touring with an established band known as Ronnie Hawkins and the Hawks throughout Ontario, Canada. This pre-incarnation of the Band earned fame throughout Canada before finally deciding to settle in Toronto where their most profitable gigs occurred at. Homesickness, however prevented the Hawks from remaining together for very long. As members of ... ... seems to highlight all of the genres that the group was influenced by and in turn showcases their progressive sound. Not only does the song recant a folk-tale in the form of a ballad but also shows the complexities of characters as archetypes of mankind and alludes to the biblical wanderings of the disciples. The song was also featured in the 1978 documentary of The Band, The Last Waltz, directed by Martin Scorsese. As a final hoorah, the Band concluded their touring in 1976 with a cadre of other influential artists such as Paul McCartney, Neil Young, Eric Clapton, Van Morrison and others. The film the Last Waltz has also lived on as an inspiration to current artists and has been acclaimed as a must see for musicians. The film not only captures the performances of The Band but also presents them in the context of the culture, amidst famous aspects of rock and roll.

S treasury yield. The term of the loan was 10 years. Exhibit 6 illustrates the U. S treasury yields. Since the loan has a 10 year term, we decided to select the 10 year Risk Free rate, which is 4. 56%. In total the interest rate of the loan would amount to 6. 56%. In order to decide, which alternative is best suitable for the company, we must find the cost associated with borrowing. In addition, we must also add the upfront fee of 1,800,000.The upfront fee is calculated by multiplying 200,000 common shares and the stock price of 9$. We assumed that the value of the firm was equal to 180,000,000 in order to use the 9$ stock price. We also assumed that the loan payments would be done monthly, which gave us a monthly pa yment of 569,267. 46$. Appendix 2 is a loan amortization schedule and indicates the amount of interest and capital is included in each payment. The sum of all interest payments is equal to 18,312,099. If we take the total interest cost and the upfront fee the total cost of the loan would equal to: 20,112,099.However it is also important to note that interest is tax deductible. The loan amortization schedule enabled us to find the PV of the tax shield of 79,712. 24$. In conclusion, the total cost of the debt option is equal to: 20,032,386. 75$ We also wanted to note that paying 10% principal per year for 10 years on the loan is impossible. According to loan amortization schedule, the 10% yearly principal payment would start from year 6. For the first 5 years, most of the payment is attributed to interest, which decreases the principal portion of the payment.Performance and Ratios An important factor in deciding on which way to finance growth is how it affects your financial statement s. Since these tools will be the primary source for investors it is important have them appear strong (APPENDIX FOUR). If the company chooses an IPO, the following ratios would occur in the 2007 financial statements of Granite Apparel. The ROE plays in favor, however, because the total Equity is divided among fewer shareholders. It looks good for investors but not for creditors. If the company chooses to issue preferred shares, the financial statements would look very similar to issuing an IPO. This occurs because the preferred shares would be booked in the Equity section of the financial statements due to their â€Å"ownership† qualities. QualitativeGranite Apparel is faced with three financing mediums; initial public offering, long term debt or preferred shares. In the decision process, it is important to weigh the benefits and shortcomings of each financing option. Initial Public Offering (IPO) Benefits * Increase in Shareholder Capital * Increased wealth without dividing authority amongst partners * No div idend obligation on common shares. * Inexpensive method of financing. * Able to maintain control of the company as long as shareholders have less than 20% ownership Drawbacks Granite would need to undergo a thorough assessment of its operations, financial records and legal situation by both Continental Securities and the securities commission. * Three to six month due diligence process. * Minimum requirements in accordance to US GAAP system is very expensive to implement * Decisions based on stock price The public trading of the shares establishes a value for the company and sets a benchmark. This works in favor of the company as it is helpful in case the company is looking for an acquisition or merger. It also provides the share holders of the company with the present value of the shares.Furthermore, once the shares are traded, they carry a market value that is different from the book value depending on demand (volume traded); this can provide Granite with the incentive of offering stock options to employees as an added compensation. Additionally, the investors that are in the company have liquidity on their share of the company, however, if an investor should decide to redeem his portion the company is not entirely affected because the sale is completed on the market. When a company issues common shares, there is no obligation to pay dividends.This can be an immense advantage for Granite as the company is in a growth phase and dividends can be limited in order to compete in an industry with larger players. In turn, this also allows Granite to keep the cost low for the future. In addition, the firm will not go bankrupt if is not able to pay out dividends. More than frequently, management’s decisions may be effected by the market price of the shares and the feeling that they must get market recognition for the company's stock. Often, this can lead to bad decisions and consequently a decline in stock price.As the share price of Granite falls, may lose ma rket confidence, decreased valuation of the company may affect lines of credits, secondary offering pricing, the company's ability to maintain employees, and the personal wealth of insiders and investors. Not to mention if Granite decides to issue most of its shares to the public it may be a target for a hostile takeover, evidently a loss of insider control. Long term Debt Using long term debt will allow granite apparel to immediately acquire the funds, however it will place both financial and operational standard covenants in effect. Granite will still have to pay the interest on the principle loan witho ut having the flexibility of acquiring another loan. When the interest payments are not distributed to debt holders, the firm may go bankrupt.As stated, If earnings decrease it might be very risky to carry over 3. 57 million dollars in interest expense as an annual obligation. Moreover, in the event that Granite is presented with the opportunity to merge or outright acquire a competitor, the decision will have to pass through Metropolitan. This can lead to further complications and loss of decision making control for the management of Granite. Preferred Shares Although this method is cost effective, it can also confiscate the ability for management to take important decisions without approval from shareholders. Granite can redeem the shares at a ten percent premium only after five years * Shareholders have no voting right, but receive priority over dividends * Can be given voting rights if Granite does not pay for two consecutive years Similar to long term debt, preferred shares pre sent the drawback for potential loss of control. For instance if there is an economic downturn and Granite is unable to issue payments for two consecutive years to its preferred shareholders, they are granted full voting rights and can potentially control the entire company.Preferred shares can either be placed in the equity or liability section of the balance sheet. In this particular scenario, the preferred shares would be in the equity section because they show evidence of â€Å"ownership†. For instance, if dividends are not paid for two years consecutive, they can exercise their voting rights and consequently allow them to decide on major business developments. Given the three financing methods, Granite would receive the necessary capital in time to fulfill their marketing needs.Given the economic state preferred shares are risky when considering the potential loss of control to the shareholders. Similarly, long term debt caries the interest risk burden without possibilit y of acquiring a new loan. Conversely, initial public offering allows the flexibility to gain capital at any point with the exchange of ownership and still allows the decisions to be made by the board of directors. Although the net income on the expansion is not quantifiable, by the issuance of IPO, Granite remains protected from third party influence and control, interest burden and loss of decision control. Plan of Action Announce the plan to the board of directors and wait for quorum approval or issuing an IPO * If Mr. Taylor and other board members are expressing worries about dilution of ownership, consider issuing two classes of shares; non-voting and voting. * Contact the investment firm to find out potential differences for issuing two classes of shares * Hire and find experienced accountants to prepare the financial statements in accordance to US GAAP for public companies since the company will go public * Select an investment bank with a good reputation and expertise to ad vice and perform underwriting functions. Organize internally for high compliance in accordance to the securities commission Contact and find a reputable auditing firm (KPM, Deloitte, Price Waterhouse or Ernst ; Young) * File with the Securities and Exchange Commission. * Once the request has been processed Granite Apparel should request its IPO on the stock exchange with firm commitment. * Once capital is certain (under firm commitment) and as quickly as possible, search for store locations.These locations should be prime, and in an area where Granite * Apparel can compete strongly with the major players.
